1. About these terms

These Terms of Sale and Service ("Terms") apply to every quotation issued, order accepted and product sold by Vintage Art LLC ("Vintage Art", "we", "us"), a Limited Liability Company registered in Missouri, United States, with its registered address at 8301 State Line Rd, Ste 220, Kansas City, Missouri 64114, United States. By placing an order with us you ("Customer", "you") agree to these Terms.

2. Business customers only

Vintage Art LLC sells to business customers: retailers, wholesalers, online sellers, distributors and other commercial buyers. By ordering you confirm that you are purchasing for business purposes and not as a consumer. We may request a business registration number, resale certificate or other proof of business status before accepting an order.

3. Quotations and orders

• All quotations are written and valid for 14 days unless stated otherwise. Quotations for UK customers are issued in Pounds Sterling (GBP); quotations for other markets are issued in U.S. Dollars (USD).
• Each quotation states the minimum order quantity (MOQ), unit price, estimated lead time and payment terms.
• An order becomes binding when we issue a proforma invoice and you confirm it in writing and pay the required deposit.
• We reserve the right to decline any order at our discretion before acceptance.

4. Prices and payment

• Prices exclude shipping, insurance, import duties and taxes unless stated on the invoice.
• Accepted payment methods: Faster Payments or BACS in GBP for UK customers, ACH or domestic wire in USD for U.S. customers, and international bank wire for all other buyers. Payments are made only to the bank account named on our official invoice.
• Standard terms: a deposit on order confirmation, with the remaining balance due before shipment. Specific percentages are stated on each invoice.
• Title to the goods passes to you when full payment has been received. Risk passes according to the agreed shipping terms (Incoterms) stated on the invoice.
• Overdue balances may incur a late payment charge of 1.5% per month or the maximum rate permitted by law, whichever is lower.

5. Samples

Samples are available on request and are charged at the sample price plus shipping. Sample charges may be credited against a subsequent bulk order of the same item, as agreed in the quotation.

6. Production, lead times and delivery

Lead times are estimates based on manufacturer capacity and are provided in good faith. We will inform you promptly of any expected delay. Delivery terms, carriers and tracking are described in our Shipping & Returns policy. We are not liable for delays caused by carriers, customs authorities or events outside our reasonable control.

7. Inspection, defects and returns

You must inspect goods on receipt and notify us in writing of any shortage, damage or defect within 7 days of delivery, with photographs and the invoice number. Our returns and remedy process is described in the Shipping & Returns policy. Because goods are produced and purchased in wholesale quantities, returns for reasons other than defect or error are not accepted unless agreed in writing.

8. Product information

Colors, dimensions and materials are described as accurately as possible. Minor variations between samples, images and bulk production are normal in apparel manufacturing and do not constitute a defect.

9. Cancellation

Once production has started, orders cannot be cancelled without our written consent. Where we agree to cancellation, you remain responsible for costs already incurred, which may include the full deposit.

10. Intellectual property

You are responsible for ensuring that any artwork, logo or design you supply for custom or private-label products does not infringe third-party rights, and you indemnify us against claims arising from such materials.

11. Limitation of liability

To the fullest extent permitted by law, our total liability for any order is limited to the amount paid for that order. We are not liable for indirect, incidental or consequential losses, including lost profits.

12. Compliance

We comply with applicable U.S. laws, including sanctions and export control regulations. We may suspend or cancel an order if required by law or by our financial institutions.

13. Governing law

These Terms are governed by the laws of the State of Missouri, United States. Any dispute will be resolved in the state or federal courts located in Missouri.
